Accounting Practice Mergers - Two is better than one

When companies undergo a Merge, the underlying principle is to create value.  A successful merger should create value in which executing the merger would result in a company worth more than if each company continued as before.  We have numerous clients at any given point in time that is considering a merger for various and rather diverse reasons.  Some are looking for a planned exit strategy where an ouright sale doesnt really do the trick.  Other accounting practice owners needs some critical mass and just cant get to the next level, together with another firm overheads are immediately reduced.  Whatever your reason, we can help.

What type of mergers are there?

When companies undergo a Merge, the underlying principle is to create value.  A successful merger should create value in which executing the merger would result in a company worth more than if each company continued as before.

  • Sideways Merger
  • Downstream Merger
  • Up-Stream Merger

Sideways Merger
A Sideway Merger is whereby you merge with someone roughly the same size and with a cash adjustment if required and then act as an equal partner going forward.  In a horizontal merger, 1 + 1 (referring to two independent companies) should be greater than 2 (the merged company).  Ideal for two small practitioners typically looking at expanding fast, have someone to help in peak times and also spread your risk if something happens to you.

Downstream Merger
A Down Stream Merger is where you buy up smaller practices by absorbing them into your brand and adjust with cash from your end that you remain the bigger controlling partner.  This is a very popular way for larger businesses to absorb smaller ones to expand fast and secure skilled partners to help grow.  It is also a way for a larger single practitioner looking for a planned exit holding onto control right up to the end to bring a new young protégé into his firm.

Up-Stream Merger
An Up-Stream Merger whereby you find a new home with your practice and clients in a larger firm and give up your brand and logo to be part of the new bigger operation.  This is favoured by people retiring.  They have a way to exit over time and have their exit strategy left late sorted out.  Younger practitioners with a smaller firm that requires specialist skills, or lose clients or just want to be part of something bigger like this as a solution.
